On December 19, 2024, events unfolded at the office of the charitable foundation "Ezgu Amal" that jeopardized the stability of the foundation's operations and the rights of its beneficiaries. The founders of the foundation announced the dissolution of the current composition of the Board of Trustees, which, according to the foundation's charter, is elected for a term of 5 years and cannot be disbanded by a decision of the founders. The Board of Trustees, as per current legislation and the foundation's charter, is the highest governing body of the foundation.
The individuals who established the foundation do not have the authority to dissolve the Board of Trustees. Its dissolution can only occur through a court order, which is also stipulated in the foundation's charter. Any attempts to disband the Board of Trustees without adhering to these requirements, as well as any changes in this regard declared by the founders, are legally void and lack any basis.
Munira Khojahanova, one of the founders of the foundation, unlawfully used the electronic digital signature of the chairperson of the foundation's board, Hilola Khojaeva, to illegally seize and manage the foundation's corporate website. Simultaneously, the founders, accompanied by outsiders, stormed the office and gained access to personal data related to the activities of the foundation and its beneficiaries.
The events that took place on December 19 are a consequence of the Board of Trustees' consistent efforts to implement transparent management standards, as well as the collection and distribution of funds. Over the past year, the Board of Trustees has reviewed a number of financing and expenditure methods, suspending or completely terminating those that proved to be opaque, ineffective, and unmanageable.
These reforms aim to ensure that every donor can see how their contributions are utilized, while beneficiaries receive assistance as efficiently as possible. However, these changes faced resistance from individuals accustomed to the unchecked management of the foundation's resources. Attempts at sabotage and discrediting became an inevitable result of this work.
In response to the situation, the Board of Trustees of the "Ezgu Amal" foundation has taken the following measures:
First, a decision has been made to exclude Munira Khojahanova from the composition of the Board of Trustees of the "Ezgu Amal" foundation. By announcing the dissolution of the board, Khojahanova effectively placed herself outside its composition, which provided grounds for her exclusion and removal from the position of chairperson.
Second, all issues related to the current situation will be addressed strictly within the framework of the law, with the foundation and the Board of Trustees seeking assistance from the appropriate authorities to protect the interests of the foundation, its beneficiaries, and donors.
Third, by unanimous decision, Ziyaev Yahyo Fazlitdinovich, an oncologist at the Republican Specialized Scientific and Practical Medical Center for Oncology and Radiology, has been elected as the new chairperson of the Board of Trustees of the "Ezgu Amal" foundation.

We will do everything possible to protect the foundation, its mission, and the rights of those who believe in us,” stated Yahyo Ziyaev.
